1. About these terms

These Terms of Service (“Terms”) govern your access to and use of the Weave application and services (“Weave”, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Weave is a group-account product that lets groups in Nigeria collect, hold, pay, and track money together. Weave is a technology provider, not a bank. We operate the application and the record-keeping ledger; your funds are held by our licensed banking/custody partner, not by Weave.

2. Eligibility

You must be at least 18 years old and legally able to enter a contract to use Weave. You must provide accurate information and complete the identity verification (KYC) required for the features and money limits you want to use.

8. Fees

Any fees for using the Service will be disclosed to you in the app before you incur them. The Service is currently free to use; we will give notice before introducing fees. Our banking partner or the payment rails may apply their own charges.

9. Acceptable use

You must not use Weave: - for any unlawful purpose, or to launder money or finance terrorism or other financial crime; - to transact on behalf of a sanctioned person, or in breach of applicable sanctions; - to impersonate another person, provide false verification information, or gain unauthorized access to any account or system; - to interfere with, disrupt, probe, or reverse-engineer the Service, or to introduce malicious code.

We operate anti-money-laundering and fraud controls and cooperate with our banking partner and the authorities. We may freeze, delay, or refuse a transaction, or restrict or close an account, where we reasonably suspect a breach of this section, fraud, or a legal or regulatory requirement.

10. Data protection

We process your personal data as described in our Privacy Policy, in line with the Nigeria Data Protection Act 2023. By using the Service you acknowledge that policy.

11. Availability and changes to the Service

We work to keep the Service available and reliable but do not guarantee uninterrupted access. We may add, change, or withdraw features. Where a change materially affects you, we will give reasonable notice in the app.

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim implied warranties. Weave is a technology provider; the safekeeping of funds is provided by the licensed banking partner under its own terms and regulatory framework.

14. Limitation of liability

To the fullest extent permitted by Nigerian law, Weave is not liable for indirect or consequential loss, or for loss arising from: your failure to keep your credentials secure; instructions properly authorized through your account or your group’s approvals; a third-party service (including the banking partner, verification partner, or payment rails) acting or failing to act; or events beyond our reasonable control. Nothing in these Terms excludes liability that cannot be excluded by law.

15. Indemnity

You agree to indemnify Weave against claims and losses arising from your breach of these Terms or your unlawful use of the Service, to the extent permitted by law.

16. Changes to these Terms

We may update these Terms. We will post the updated version with a new effective date and, for material changes, notify you in the app. Continued use after a change means you accept the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute will first be pursued in good faith between the parties; failing resolution, it will be subject to the jurisdiction of the courts of Lagos State, Nigeria.
